Terms and Conditions
The terms and conditions, contained herein, are intended to provide clarification of standard operational practices, procedures, and limitations. These conditions do not represent all possible scenarios, conditions, options, or resolutions. As such, in the event of an issue that does not conform to the predetermined terms and conditions, Tisch Scientific reserves all rights to resolve the matter in a way determined, through arbitration or mediation, to be equitable for all parties concerned. Placing an order for goods or services from Tisch Scientific serves as acceptance of all terms, conditions, and policies as identified on this site. Customers may review shipping policies, privacy policies, and billing information at any time using the links used throughout the Tisch Scientific website.
Customer Accounts
Customers are encouraged to create an account to store order history, account information, contact information, shipping and billing addresses. A customer account is not necessary to place an order, however, placing an order as a guest also serves as acceptance of the Tisch Scientific terms and conditions. As described in the Tisch Scientific privacy policies, customer information is secured and will not be shared with third parties.
Customers wanting to establish tax exemption must create a customer account, provide all necessary validation of tax exemption status, and receive confirmation of acceptance before tax exemption status can be applied. Tax exemptions will not be granted to any company, individual, or entity using a guest account. Tax exemptions are only available if the exempt status is accepted before an order is placed. Tisch Scientific holds no obligation to refund taxes on orders processed prior to the acceptance of tax exemption status.
Confidential and Proprietary Information
Product and/or marketing documents may contain detailed, proprietary information including measurements, material data, specifications, or information on manufacturing processes or product usage. The dissemination of proprietary intellectual data is solely intended for use by the customer, and may not be duplicated, distributed, or replicated without express, written permission from Tisch Scientific, and/or their manufacturing partners.
Unauthorized disclosure of Confidential Information may cause irreparable harm to Tisch Scientific and/or its manufacturing partners, for which monetary damages may be inadequate. Therefore, Tisch Scientific and/or its manufacturing partners shall be entitled to seek injunctive relief (a court order to prevent further disclosure) in addition to any other remedies available at law or equity.
Pricing
Established prices for goods and services are reviewed at regular intervals at the sole discretion of Tisch Scientific. As such, prices may be adjusted at any time. Tisch Scientific shall update the affected prices on the website. If an order has been accepted and acknowledged, it shall be protected from any subsequent price changes as part of the sales agreement. Tax changes, material costs, transportation costs, tariffs, import and export fees, and other expenses may impact product pricing outside of normal update schedules. Please note that even though, prices may be subject to change, the customer will have the opportunity to review or cancel their order, without penalty, if done within five (5) business days from acceptance.
Customer Orders
Submitting an order for the purchase of goods or services electronically, by phone, fax, or any other form of communication not specifically detailed, is only considered to be valid once the customer is contacted with an order acknowledgment and confirmation.
The conditions for sale include acceptance and acknowledgment of the product, custom requirements (where applicable), quantity ordered, total cost to the customer including sale price, taxes, shipping fees, duties, tariffs, and other charges required to complete the delivery of the goods, an agreement on a valid shipping destination, and acceptance of payment terms. Tisch Scientific may decide not to accept the order, if the conditions for sale, detailed above, are incomplete or in dispute, such as in situations where an inability to verify payment, or suspected fraud may be present. Customers should review all policies contained herein, as well as those included within the shipping policies, privacy policies, and billing information, prior to initiating any purchase agreement with Tisch Scientific. Once the conditions for sale are met and approved for processing, the order may be acknowledged by Tisch Scientific. Customers shall not alter this agreement without express, written consent from Tisch Scientific.
If a customer cancels, or alters the agreement, after an order acknowledgment has been completed, the customer shall be responsible for a fee not to exceed 10% of the original order. Tisch Scientific may agree to waive this fee, at their discretion, with or without cause. Please note that certain conditions may arise that would cause your order to be cancelled, in limited circumstances, such as if the product is no longer available or if there is an error with pricing or a product description. If a customer's order is canceled, the customer shall be notified as soon as possible and offered a full refund.
Should an error occur in the processing of the order acceptance, as noted above, Tisch Scientific retains the right to correct the error. In the event of an error, the customer shall be contacted and provided detailed information on the origin of the error, the corrected information, and preventative steps that will be taken to address the root cause of the error. If an error on behalf of Tisch Scientific leads to the customer's desire to void the purchase, the order shall be canceled and any payments that have been processed shall be refunded.
Legal Disclaimers
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be severed from the remaining provisions. The remaining provisions shall continue in full force and effect as if the invalid, illegal, or unenforceable provision had never been included.
Neither party shall be liable for any failure or delay in performing its obligations under this Agreement to the extent that such failure or delay is caused by
The contract created through the request for goods or services, and their subsequent acknowledgment shall be construed, interpreted, and applied in accordance with the internal laws of the State of Ohio. The customer consents to this jurisdiction provision and, if the customer initiates any legal proceeding against Tisch Scientific in any other court, the customer agrees to assume all legal costs in connection therewith, including reasonable attorney fees, travel, lodging, meal, telephone, fax, and computer-related expenses incurred.
No waiver will be valid unless in writing, signed by an authorized representative of Tisch Scientific. No waiver granted will release the customer from strict compliance herewith. Tisch Scientific shall not be held liable for any errors or omissions either as a result of their own actions, or those of their suppliers.
